1) What We Offer
Apex Impact (the “Service”) lets you add keywords (including @usernames, #hashtags, and $tickers) to scan public posts on X/Twitter at regular intervals (target: every ~16 minutes per active keyword). When new matches are found, summaries (and optional links) are delivered privately to your Telegram account via our bot.
Keyword quota: Your plan includes a maximum number of active keywords (“slots”).
Rotation: You may delete a keyword to free a slot and add another at any time.
Per-scan cap: To reduce noise, deliveries may be limited to up to 30 new posts per scan per keyword.
Best-effort cadence: The 16-minute cadence is a service target, not a guarantee. Network, platform, or system constraints may affect timing and delivery.
2) Eligibility & Accounts
You must be legally able to enter into these Terms and comply with applicable laws. You are responsible for safeguarding your Telegram account/bot access and any actions taken through it.
3) Plans, Payments, and Trials
Free trial: One keyword for 7 days, subject to change or termination at any time.
Paid plans:
Starter: 5 keywords/month — $20
Pro: 20 keywords/month — $60
Ultimate: 50 keywords/month — $100
Payment method: In-bot payment with Solana (SOL) (or as otherwise offered in the bot).
Renewals: Subscriptions renew automatically each billing cycle unless canceled before renewal.
Pricing changes: We may modify plan features or prices on notice. Changes apply to subsequent cycles.
Taxes: Prices may exclude applicable taxes, duties, or network fees.
Refunds: Unless required by law, payments are non-refundable for the current billing period. If a refund is issued, it’s at our sole discretion.
4) Acceptable Use
You agree not to:
Use the Service for unlawful purposes, harassment, or to violate third-party rights.
Circumvent rate limits, scrape, or attempt to reverse engineer the Service.
Resell, sublicense, or share access beyond your own Telegram account unless expressly permitted.
Interfere with Service integrity or security, or attempt unauthorized access.
Misrepresent alerts as official communications from X/Twitter, Telegram, or any other third party.
We may suspend or terminate access for violations, suspected abuse, or risk to the platform or others.
5) Content, Third Parties, and IP
Third-party content: Alerts are based on public content from X/Twitter and other sources we may support. We do not control or endorse third-party content and are not responsible for its accuracy, legality, or availability.
No affiliation: Apex Impact is not affiliated with X/Twitter, Telegram, CoinGecko, CoinMarketCap, or any exchange or brand mentioned.
Your rights: You retain rights to content you submit (e.g., keywords). You grant us a limited license to process that content solely to provide the Service.
Our IP: The Service, software, branding, and documentation are owned by us or our licensors. Do not copy, modify, or create derivative works without written permission.
6) Data, Privacy & Security
Data we process: Keywords you add, delivery metadata (timestamps, counts), and your Telegram identifier to deliver alerts.
Privacy: See our Privacy Policy for details on data handling, retention, and your choices.
Security: We use reasonable technical and organizational measures but cannot guarantee absolute security.
7) Service Levels & Changes
Availability: We strive for reliable operation but do not guarantee uninterrupted Service. The cadence (e.g., ~16 minutes) is a target subject to platform, rate limits, or outages.
Feature changes: We may modify, suspend, or discontinue features (including scan frequency, per-scan caps, supported sources) at any time with or without notice.
Maintenance: Scheduled or emergency maintenance may affect deliveries.
8) Disclaimers
No financial advice. Alerts and summaries are for information only. They are not investment, trading, legal, or tax advice. You are solely responsible for your decisions.
No warranties. The Service is provided “as is” and “as available.” We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
No guarantee of detection. We do not guarantee that any or all relevant posts will be found, delivered, or delivered on time.
9) Limitation of Liability
To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, lost profits, lost data, or business interruption, even if advised of the possibility. Our total liability for any claim related to the Service will not exceed the amount you paid to us in the 12 months preceding the event giving rise to the claim (or $100 if you are on the free plan).
Some jurisdictions do not allow certain disclaimers/limitations—those terms apply only to the extent permitted.
10) Indemnification
You agree to indemnify and hold us harmless from claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from your use of the Service, your content/keywords, or your breach of these Terms.
11) Termination
You may cancel at any time in the bot/app. We may suspend or terminate your access (with or without notice) for any violation of these Terms, suspected abuse, legal/regulatory reasons, or protection of the Service/others. Upon termination, your right to use the Service ceases; certain sections (e.g., IP, Disclaimers, Liability) survive.
12) Changes to These Terms
We may update these Terms from time to time. Material changes will be announced in-bot, by link, or via reasonable notice. Continued use after the effective date constitutes acceptance of the updated Terms.
13) Governing Law & Disputes
These Terms are governed by the laws of [State/Country], excluding its conflict-of-law rules. Courts located in [City, State/Country] will have exclusive jurisdiction.
Optional arbitration clause (replace if desired):
Any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered by [Arbitration Provider] under its rules.
